Affiliate Program Agreement

Effective Date: January 1, 2026 | NJ Weight Loss & Preventive Care Clinics PA

This Affiliate Program Agreement ("Agreement") is between NJ Weight Loss & Preventive Care Clinics PA ("Company," "we," "us") and you ("Affiliate," "you"). By applying to or participating in our affiliate program, you agree to the following terms.

1. Program Overview

The NJ Weight Loss Affiliate Program allows approved affiliates to earn commissions by referring prospective patients to our medical weight loss and preventive care services. All referrals are tracked through our affiliate platform (LeadDyno) via unique tracking links assigned to each affiliate.

2. Eligibility

• You must be 18 years of age or older.
• You must have a valid payment account to receive commissions.
• Employees, contractors, and immediate family members of the Company are not eligible.
• Current patients of NJ Weight Loss may participate with prior written approval.
• We reserve the right to approve or deny any application at our sole discretion.

3. Commission Structure

Commission rates and payment schedules are determined by the Company and communicated to affiliates upon approval. The Company reserves the right to modify commission rates with 30 days written notice. Commissions are earned only upon confirmed patient enrollment and initial payment. Commissions are not earned on cancellations, refunds, or fraudulent referrals.

4. Affiliate Responsibilities

• You may only use marketing materials approved by the Company.
• You may not make medical claims, guarantee outcomes, or misrepresent our services.
• You may not use paid search advertising that targets our brand name or trademarks without prior written approval.
• You must clearly disclose your affiliate relationship in accordance with FTC guidelines.
• You may not engage in spam, unsolicited email, or any deceptive marketing practices.
• You may not use our affiliate program to refer yourself or your own household members.

5. HIPAA & Patient Privacy

Affiliates do not have access to patient health information and are prohibited from requesting, collecting, or sharing any patient health information. All patient data is handled exclusively by the Company in compliance with HIPAA. Any affiliate who improperly handles or solicits patient data will be immediately terminated from the program and may be subject to legal action.

6. Prohibited Conduct

The following are grounds for immediate termination without payment of outstanding commissions:

• Cookie stuffing, click fraud, or any form of traffic manipulation
• Making false medical claims about our products or services
• Impersonating the Company, our staff, or our physicians
• Using our affiliate program in connection with any illegal activity
• Violating any applicable federal, state, or local laws

7. Termination

Either party may terminate this agreement at any time with written notice. The Company may terminate immediately for cause. Upon termination, your tracking link will be deactivated. Commissions already earned and confirmed prior to termination will be paid according to the normal payment schedule.

8. Limitation of Liability

The Company's liability to any affiliate shall not exceed the total commissions paid to that affiliate in the 3 months preceding any claim. The Company is not responsible for any indirect, incidental, or consequential damages arising from participation in this program.

9. Changes to This Agreement

We may update this agreement at any time. Continued participation in the program after notice of changes constitutes acceptance of the updated terms.

10. Governing Law

This Agreement is governed by the laws of the State of New Jersey. Any disputes shall be resolved in the courts of Camden County, New Jersey.
